MEXICO CITY, MEXICO, July 8th, 2022 – Rubicon Capital Advisors (“Rubicon”) is pleased to announce the successful sale by Construcciones Rubau, S.A. (“Rubau”) and Vise, S.A. de C.V. (“VISE”) of their combined 90% equity interest in Concesionaria Bicentenario, S.A. de C.V., the owner and operator of the Libramiento de Celaya toll road in Celaya, Mexico to Xinfra Fibra-E (“XFRA”).

The Libramiento de Celaya toll road consists of a 12.93km two-lane bypass and an additional 16.45km four-lane bypass, which together form a 270-degree ring road around the city of Celaya, located in the state of Guanajuato, Mexico. The toll road commenced partial operations in 2010 and has been in full operation since 2013 with the opening of the Northeast bypass.

XFRA is a Mexican investment trust listed on BIVA, that invests in stabilized infrastructure and energy projects in Mexico.

The acquisition of the Libramiento de Celaya toll road offered XFRA a unique opportunity to gain a foothold in Mexico’s infrastructure market as it served as an anchor asset in its IPO, which was completed in June 2022.

“This partial divestment operation will provide new financial resources to the Rubau Group to be used in other road projects in Mexico, as well as, fulfilling Rubau’s Strategic Plan, to improve the diversification in sectors such as energy efficiency, social rental housing and waste and water treatment,” commented Pablo Bel, CFO at Rubau.

Santiago Ortiz Monasterio, Managing Director and Head of Mexico at Rubicon, commented, “This transaction represents the fourth toll road transaction in Mexico and the eighth successful closing for Rubicon in Latin America and reinforces the firm’s credentials as a leading advisor in the Fibra-E space. We would like to extend our appreciation to Rubau and VISE for trusting us with this critical assignment.”

Rubicon has significantly increased its presence across the Americas with offices in New York, Mexico City, Bogotá and most recently Santiago de Chile, as amply demonstrated by the successful closing in the past three years of over 15 transactions within the sustainable infrastructure and renewable energy sectors for projects located in the USA, Canada, Mexico, Colombia and Chile.

Per Mergermarket’s League Table Rankings, Rubicon has maintained for the past seven years its position as the #1 Global Financial Advisor on the number of transactions closed for M&A and refinancing of brownfield PPP deals and has been ranked #1 Financial Advisor in the transportation sector in Mexico in 2021. Rubicon is currently active on multiple M&A and debt financing transactions across the Latin American region and expects to announce further closings throughout 2022.
